For companies holding primarily unlisted shares, the choice of DP matters less โ€” focus on one that accepts unlisted off-market transfers smoothly.

Key Advantages of a Corporate Demat Account

1. Tax Deduction on Investment Expenses

Brokerage, transaction charges, and advisory fees paid by the company for investment management can be deducted as business expenses under Section 37 โ€” reducing company's taxable income.

2. Lower Corporate Tax on Investment Income

A company pays 22% flat tax (plus surcharge and cess = ~25.17% effective) on income under the new regime. An individual in the 30% slab + surcharge could pay 35โ€“40% effectively. For high-income promoters, routing investment through a company can be tax-efficient.

Assets held in a company's name are legally protected from personal liabilities. If there's a personal dispute or insolvency, company assets are separate.

  6. Receive DP ID and Client ID for the corporate account

Using a Corporate Demat for Unlisted Shares

Companies and LLPs can purchase unlisted shares in their corporate Demat account. The process is identical to individual purchase โ€” off-market transfer via DIS. The tax treatment on gains follows corporate tax rules rather than individual capital gains rates.
